VBingo Terms and Conditions

1. DEFINITIONS

1.1. VBingo: A proprietary gaming platform owned and operated by Mountain Peak Investments, LLC, offering social gameplay using Silver Coins and sweepstakes-style opportunities through the use of Storm Opals.

1.2. Sponsor/Promoter: An independent entity authorized by Mountain Peak Investments, LLC to operate VBingo promotions, sell Silver Coins, and manage the redemption of Storm Opals for prizes.

1.3. Silver Coins: Non-value game tokens used for social gameplay on the VBingo platform. Silver Coins cannot be redeemed for prizes and are available for purchase at Sponsor/Promoter locations.

1.4. Storm Opals: Coin-of-value tokens that can be used for sweepstakes gameplay on the VBingo platform. Storm Opals are redeemable for prizes at Sponsor/Promoter locations.

1.5. Participant/Player: An individual who meets eligibility requirements, creates an account via a Sponsor/Promoter-provided link, and engages with the VBingo platform under these Terms and Conditions.

1.6. Account: A unique user profile created through a Sponsor/Promoter-provided link, which tracks gameplay activity, Silver Coin balances, and Storm Opal balances.

1.7. Platform: The website or any authorized application through which VBingo services are provided.

1.8. Prizes: Rewards redeemed using Storm Opals as specified in the Rules of Play and these Terms and Conditions.

1.9. Rules of Play: The most recent version of the Rules of Play posted on VBingoGames.com , governing all gameplay and prize redemptions.

1.10. Virtual Items: Includes Silver Coins, Storm Opals, or any other virtual goods provided by the VBingo platform for gameplay or promotional purposes.

1.11. Authorized Account Holder: The natural person who is the owner of the email address or account registered to participate on the VBingo platform.

2. AGREEMENT TO TERMS

By creating an account through a Sponsor/Promoter-provided link, or by engaging with VBingo gameplay, you confirm that you have read, understood, and agreed to these Terms and Conditions. If at any time you do not agree to these terms, your right to participate will immediately terminate, and you must stop engaging with VBingo.

2.1. License to Participate: Mountain Peak Investments, LLC grants you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable right to use the VBingo platform for personal, non-commercial purposes. Mountain Peak Investments, LLC reserves the right to modify, revoke, or terminate this license at its sole discretion.

3. RIGHT TO PARTICIPATE

3.1. Participants must be 21 years of age or older and meet all eligibility criteria outlined in the Rules of Play.

3.2. Participants are solely responsible for ensuring their participation complies with local, state, and federal laws.

3.3. The Sponsor/Promoter reserves the right to suspend or terminate any account that violates these Terms and Conditions or engages in fraudulent activities.

3.4. The Sponsor/Promoter reserves the right to refuse service to any participant at its sole discretion.

3.5. Mountain Peak Investments, LLC and the Sponsor/Promoter reserve the right to verify the identity of participants at any time.

3.6. Participants must not use the platform for any unlawful or prohibited activity.

4. SILVER COINS, STORM OPALS, AND VIRTUAL ITEMS

4.1. Silver Coins: Non-value tokens used exclusively for social gameplay. Silver Coins cannot be redeemed for prizes or exchanged for monetary value.

4.1.1. Silver Coins and other Virtual Items are licensed to Participants on a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable basis solely for non-commercial use.

4.1.2. The Sponsor/Promoter reserves the right to manage, control, modify, or eliminate Virtual Items, including Silver Coins and Storm Opals, at its sole discretion, with or without notice to Participants and without liability.

4.2. Storm Opals: Coin-of-value tokens earned through gameplay or other promotional methods. Storm Opals obtained through gameplay are eligible for redemption, while those acquired through promotional offers are for sweepstakes entries only.

4.2.1. Storm Opals and other Virtual Items are not refundable, and Mountain Peak Investments, LLC is not liable for providing refunds or compensation for any unused or forfeited items, regardless of account status.

4.3. Prize Redemption: Each redeemable Storm Opal is equivalent to one United States Dollar (USD). Redemption must be conducted in person at Sponsor/Promoter locations and is subject to verification processes as outlined in the Rules of Play.

4.3.1. Redemption requests may be subject to review and investigation at the Sponsor/Promoter's discretion. Any redemption over $600 or smaller redemptions where a Participant has not passed a redemption check within the last four (4) weeks will automatically trigger an investigation.

4.3.2. The Sponsor/Promoter reserves the right to charge fees for processing redemptions and may set minimum redemption values at their sole discretion.

4.3.3. In New York and Florida, the maximum redemption value for any single Prize is capped at $5,000 USD. Prizes exceeding this amount will not be redeemed.

4.3.4. Participants may only redeem Storm Opals if their account balance contains a minimum of 50 redeemable Storm Opals.

4.4. Virtual Items Forfeiture: Participants acknowledge and agree that they will permanently forfeit all Virtual Items, including Silver Coins and Storm Opals, if their account is closed or terminated, whether voluntarily or involuntarily. No compensation, refund, or restitution will be provided.

4.5. Modification of Virtual Items: The Sponsor/Promoter reserves the right to change the nature, functionality, or availability of Virtual Items at any time, with or without prior notice, and without liability to Participants.

4.6. Fraudulent Transactions: If the Sponsor/Promoter believes any transaction to be fraudulent or disputed, they reserve the right to suspend pending or future redemptions indefinitely. Redemptions will only resume upon approval or reversal of the transaction by the Sponsor/Promoter.

5. ACCOUNT CREATION AND RESPONSIBILITIES

5.1. Participants must create an account via a Sponsor/Promoter-provided link. By doing so, they accept responsibility for safeguarding their account credentials and for all activities conducted under their account.

5.2. Duplicate accounts are prohibited. The Sponsor/Promoter reserves the right to suspend or consolidate duplicate accounts and may void gameplay or winnings associated with such accounts, with oversight from Mountain Peak Investments, LLC.

5.3. Account inactivity exceeding 120 days may result in forfeiture of any remaining Silver Coins or Storm Opals. Participants are not entitled to receive compensation or reimbursement for any Virtual Items forfeited due to inactivity or account termination, whether voluntary or involuntary.

5.4. Participants are required to provide accurate personal information during account creation. Misrepresentation or false information may result in account termination.

5.5. Accounts may not be transferred or shared with others without prior written consent.

6. TAX RESPONSIBILITIES

Participants are solely responsible for any taxes arising from the redemption of Storm Opals. Mountain Peak Investments, LLC and the Sponsor/Promoter will not provide tax advice or reporting assistance. However, Mountain Peak Investments, LLC or the Sponsor/Promoter may be required by law to report certain prize redemptions to tax authorities and will comply with any such legal requirements.

7. PROMOTIONS AND BONUSES

7.1. Promotions may include free Storm Opals or other incentives and are subject to rules determined by Sponsor/Promoters.

7.2. Promotional Storm Opals are not redeemable for monetary value but may be used for sweepstakes entries.

7.3. Sponsor/Promoter reserves the right to modify or cancel promotions at any time without prior notice.

7.4. Participation in promotions constitutes acceptance of additional terms associated with those promotions.

8. DISPUTE RESOLUTION

8.1. Initial Dispute Resolution: If a Participant has any dispute with VBingo or its Sponsor/Promoter, the Participant must first attempt to resolve the issue informally by contacting the Sponsor/Promoter directly. Mountain Peak Investments, LLC encourages good-faith efforts to resolve disputes promptly.

8.2. Binding Arbitration:

8.2.1. Participants agree to waive their right to formal dispute resolution processes, including litigation, and accept the Sponsor/Promoter’s decisions as final and binding regarding disputes related to gameplay, promotions, and prize redemptions, unless such a waiver is deemed illegal or unenforceable under applicable law.

8.2.2. If a dispute cannot be resolved informally, it must be submitted to binding arbitration, governed by the Federal Arbitration Act and conducted by a neutral arbitrator through a recognized arbitration body. Arbitration will occur on an individual basis in accordance with Wyoming law.

8.2.3. In cases where a waiver of formal dispute resolution is deemed illegal or unenforceable, disputes will still be resolved through binding arbitration in the state of Wyoming, in accordance with these Terms and Conditions.

8.3. Class Action Waiver: Participants agree not to participate in class-action lawsuits or class-wide arbitration against Mountain Peak Investments, LLC or the Sponsor/Promoter. All claims must be resolved individually. This waiver applies to the fullest extent permitted by law.

8.4. Arbitration Costs: Each party is responsible for their own arbitration fees, including legal representation, filing fees, and any additional costs, unless otherwise required by law or agreed upon by both parties.

8.5. Limitation Period: Participants must file any claims arising from these Terms and Conditions within one (1) year from the date the claim arises, unless a longer period is mandated by law. Failure to file within this time frame will result in a permanent bar on the claim.

9. LIMITATION OF LIABILITY

9.1. General Limitation: Mountain Peak Investments, LLC and the Sponsor/Promoter are not liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss of Virtual Items, prizes, or other data arising from participation in VBingo or reliance on the platform.

9.2. Technical Failures:

9.3. Maximum Liability: The maximum liability of Mountain Peak Investments, LLC or the Sponsor/Promoter for any claims related to participation in VBingo is limited to the greater of (a) the amount paid by the participant in the twelve (12) months preceding the claim or (b) $50.

10. GENERAL CONDITIONS

10.1. Mountain Peak Investments, LLC reserves the right to modify these Terms and Conditions at any time. Continued participation signifies acceptance of updated terms.

10.2. Participants release and hold harmless Mountain Peak Investments, LLC, Sponsor/Promoters, and their affiliates from any claims arising from participation.

10.3. Any changes to these Terms and Conditions will be posted on the VBingo platform and become effective immediately.

10.4. Mountain Peak Investments, LLC reserves the right to interpret these Terms and Conditions and make final decisions on disputes or ambiguities.

11. TERMINATION

11.1. Mountain Peak Investments, LLC and the Sponsor/Promoter reserve the right to terminate accounts or participation at their discretion for violations of these Terms and Conditions.

11.2. Termination of an account may result in the forfeiture of any unused Silver Coins or Storm Opals.

11.3. Participants may voluntarily terminate their accounts by notifying their Sponsor/Promoter. Upon termination, all virtual items associated with the account will be forfeited.

12. MISCELLANEOUS

12.1. These Terms and Conditions, along with the Rules of Play, represent the entire agreement between Mountain Peak Investments, LLC, the Sponsor/Promoter, and participants.

12.2. If any provision of these Terms and Conditions is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3. For support or inquiries, participants should contact the Sponsor/Promoter directly using the contact information provided during account setup, as Mountain Peak Investments, LLC does not directly handle participant support.
